M&A/PE Associate

ABOUT THE ROLE Join a collaborative corporate practice as a mid-level M&A and private equity associate. You will lead transactions from due diligence through closing while advising clients on general corporate matters and working closely with partners. WHAT YOU'LL DO - Run M&A transactions end-to-end, from due diligence through closing. - Draft and negotiate purchase agreements, merger agreements, and financing documents. - Manage due diligence processes and support private equity sponsors and portfolio companies throughout the investment lifecycle. - Advise clients on entity formation, corporate structuring, and ongoing corporate matters. - Work directly with clients and partners across multiple matters. WHAT WE'RE LOOKING FOR - Four to eight years of M&A or private equity transactional experience at a law firm, with the ability to independently run deals. - Experience with private equity-sponsored transactions, due diligence, and transaction documentation. - Experience drafting and negotiating purchase and merger agreements. - A Juris Doctor degree and a license to practice law in Missouri, or willingness to obtain one. - Strong attention to detail and the ability to manage multiple client relationships and matters. - General corporate experience, such as entity formation and structuring, is helpful. Experience with debt financings, equity structuring, or cross-border transactions is also relevant. COMPENSATION & BENEFITS Base salary range: $205,000 to $285,000 annually. Visa sponsorship is not available. LOCATION On-site in St. Louis, Missouri.
